Terms and Conditions of Service

1. Definitions

  • Company: Refers to Mayfair Group, including Yara Building Contracting LLC and Al Samah International Projects & Contracting LLC.
  • Client: Refers to any individual, entity, or organization entering into an agreement with the Company for construction-related services.
  • Services: Include but are not limited to civil construction, MEP (Mechanical, Electrical, Plumbing), HVAC, Pneumatic Tube Systems, maintenance, and associated project works.

2. Scope of Work

The Company undertakes the design, execution, and maintenance of civil and electro-mechanical projects, as defined in the signed contractual documents or project scope agreement.

3. Quotation and Acceptance

  • All quotations issued by the Company are valid for thirty (30) days from the date of issue.
  • Acceptance must be provided in writing, along with a signed agreement or purchase order before work commences.

4. Payment Terms

  • Standard payment terms are as agreed in the project contract. Progress payments may be required based on milestone completion.
  • Any delay in payment beyond the stipulated due dates will attract interest at a rate of 1.5% per month or the maximum allowed by law.

5. Project Timeline

  • The project start and completion dates shall be as per the agreed schedule.
  • Delays caused by the Client, changes in scope, or force majeure events will entitle the Company to an extension of time and may affect pricing.

6. Warranties and Liability

  • The Company warrants its workmanship and materials as per standard industry practice or as stipulated in the specific contract, typically for a period of 12 months post-handover.
  • The Company shall not be held liable for indirect or consequential damages arising from project delays or malfunctions not directly attributable to its negligence.

7. Health and Safety

The Company adheres to stringent health and safety regulations and expects the Client to provide a safe working environment in accordance with UAE laws.

8. Changes and Variations

  • Any changes to the scope of work must be requested in writing and are subject to revised costing and timeline agreements.
  • Verbal instructions will not be honored unless confirmed in writing.

9. Termination

Either party may terminate the agreement in the event of material breach, insolvency, or failure to perform obligations. Written notice and a reasonable cure period (usually 14–30 days) shall be given before termination.

10. Force Majeure

The Company is not liable for delays or failure in performance due to circumstances beyond its control, including but not limited to natural disasters, government regulations, strikes, or supply shortages.

11. Intellectual Property

Designs, blueprints, technical documents, and related intellectual property created by the Company remain its property unless otherwise agreed upon in writing.

12. Dispute Resolution

  • Disputes arising under or in connection with the contract shall first be attempted to be resolved amicably.
  • Failing which, they shall be referred to arbitration under the UAE arbitration laws, with proceedings conducted in English.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Arab Emirates.
